1. Acceptance of Terms
By accessing or using DentOp's dental operations platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
DentOp provides a comprehensive dental operations platform that includes patient management, treatment planning, scheduling, billing, analytics, and related services designed for dental practices. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
3. Account Registration
To use our Service, you must:
- Be at least 18 years of age
- Provide accurate, complete, and current registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
4. Subscription and Payment
4.1 Subscription Plans
DentOp offers various subscription plans with different features and pricing. Details of each plan are available on our pricing page. You agree to pay all fees associated with your selected plan.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your designated payment method for all fees incurred.
4.3 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial months or unused portions of your subscription, except as required by law or at our discretion.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Service
- Collect or harvest user data without authorization
- Use the Service for any fraudulent or deceptive purposes
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without authorization
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge and agree that:
- You are responsible for obtaining necessary consents for patient data
- You will comply with all applicable healthcare privacy regulations, including HIPAA
- You will maintain appropriate safeguards for Protected Health Information (PHI)
- You will notify us immediately of any data breaches or security incidents
7. HIPAA Business Associate Agreement
If you are a Covered Entity under HIPAA, your use of the Service requires execution of a Business Associate Agreement (BAA) with DentOp. The BAA outlines our respective obligations regarding the protection of PHI. Contact us to request a BAA before entering patient health information into the system.
8. Intellectual Property
8.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by DentOp and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
8.2 Your Content
You retain ownership of all data and content you upload to the Service. By uploading content, you grant us a limited license to use, store, and process that content solely for the purpose of providing the Service to you.
9. Service Availability and Modifications
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. DENTOP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DENTOP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless DentOp and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. You may export your data before termination in accordance with our data export procedures.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
16. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and DentOp concerning your use of the Service and supersede all prior agreements and understandings.
